1. Introduction

Welcome to Senior Software (seniorsoftware.in), an IT services agency based in Gurgaon, Haryana, India. These Terms and Conditions govern your use of our website and outline the legal agreement between you ("Client" or "User") and Senior Software regarding the delivery of our digital services.

2. Services Offered

Senior Software provides premium digital solutions, including but not limited to:

  • Web Development & Enterprise Software Development
  • Mobile App Development (iOS & Android)
  • Digital Marketing & SEO Strategy
  • Cloud Hosting & IT Management
  • SaaS Tools & Custom Integrations

Specific deliverables, timelines, and scope will be defined in a separate Project Proposal or Statement of Work (SOW) agreed upon by both parties prior to project commencement.

3. User Responsibilities

To ensure smooth project execution, the Client agrees to:

  • Provide accurate business information, assets (logos, text, images), and timely feedback required for development.
  • Not use our services or hosted platforms for illegal, malicious, or unauthorized activities under Indian or International law.
  • Maintain the confidentiality of any administrative credentials provided by us for your systems.

4. Payment Terms & Invoicing

All financial transactions are subject to the following standard terms unless otherwise explicitly stated in your individual contract:

  • Milestone Payments: Projects generally require a 50% advance deposit, with remaining balances tied to project milestones or final deployment.
  • Late Fees: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month. Senior Software reserves the right to suspend services (including hosting) for accounts with severely overdue balances.
  • Refunds: Please refer to our Refund Policy for detailed information on non-refundable services and cancellation terms.

5. Intellectual Property Rights

We respect intellectual property. Upon the final and complete payment for a custom development project, the copyright and intellectual property rights for the specific custom code, design, and assets transfer to the Client.

However, Senior Software retains the rights to pre-existing base codebases, open-source integrations, proprietary SaaS platforms, and libraries used to build the final product. We also reserve the right to feature the completed project in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) states otherwise.

6. Third-Party Tools & Hosting

Our solutions may integrate with third-party providers (e.g., AWS, Vercel, Stripe, Google APIs). Senior Software is not responsible for the uptime, policy changes, or data breaches occurring on these external platforms. The Client agrees to comply with the terms of service of any integrated third-party applications.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Senior Software shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, revenue, or data loss arising from the use or inability to use our software, websites, or hosting services. Our total liability in any matter related to a project shall not exceed the total amount paid by the Client to us for that specific project.

8. Termination Policy

Either party may terminate the agreement via written notice if the other party breaches these terms. If the Client terminates a project without cause before completion, the Client is responsible for paying for all work completed up to the termination date. Senior Software reserves the right to terminate services immediately for abusive behavior, non-payment, or illegal activities.

9. Governing Law & Jurisdiction

These Terms and Conditions, as well as any separate agreements whereby we provide you Services, shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana.
